Terms of Service

Plain-language terms that apply to engagements between Devviy and our clients. For bespoke projects, individual contracts always take precedence over these terms.

Scope

These terms apply to all services offered through this website and to engagements between the studio listed in our Imprint and its clients. Individual project agreements, statements of work, and written proposals take precedence over these terms in case of conflict.

Services

We design and build websites, web applications, mobile applications, browser extensions, AI agents and automations, and adjacent digital products. The exact scope, deliverables, and milestones of each engagement are described in a written proposal or statement of work agreed with the client before work begins.

Quotes and engagement

Quotes are valid for thirty (30) days from issuance unless otherwise stated. An engagement is considered binding once a written proposal is accepted in text form (email is sufficient) and any required deposit has been received.

Fees and payment

Unless otherwise agreed, invoices are payable within fourteen (14) days of receipt. Larger engagements may be split into milestone-based invoices. All prices are net of any applicable VAT, which will be added where legally required.

Deliverables and intellectual property

On full payment of the agreed fees, the client receives a non-exclusive, perpetual, worldwide license to use the deliverables for the purpose described in the engagement. Custom source code written specifically for the client is transferred to the client unless explicitly stated otherwise.

We retain ownership of any pre-existing tools, libraries, and components used to build the deliverables, and the right to reuse generic knowledge gained during the engagement on future projects. Third-party components and open-source dependencies remain subject to their respective licenses.

Client cooperation

Timely delivery depends on the client providing required content, feedback, and approvals within agreed timeframes. Delays caused by the client may shift project timelines and, where applicable, justify additional cost.

Confidentiality

Both parties treat non-public information received from the other as confidential and use it solely for the purposes of the engagement. This obligation survives the end of the engagement.

Warranty and defects

We provide our services with reasonable skill and care. Where deliverables show defects within the agreed acceptance window, we will correct them at no additional charge. Statutory warranty rights, in particular for consumers, remain unaffected.

Liability

To the extent permitted by applicable law, our liability is limited to direct damages caused by intent or gross negligence. We are not liable for indirect or consequential damages, including lost profits, business interruption, or data loss. Liability for personal injury and under mandatory consumer protection law remains unaffected.

Cancellation and termination

Either party may terminate an engagement for cause at any time. Work performed up to the termination date is invoiced on a time-and-materials or pro-rata milestone basis. Consumers acting in a private capacity benefit from any statutory right of withdrawal that applies; details are provided on request before an engagement begins.

Force majeure

Neither party is liable for delays or non-performance caused by events outside its reasonable control, such as natural disasters, infrastructure outages, cyberattacks, or acts of public authorities.

Governing law and jurisdiction

These terms are governed by the law of the country in which the studio is established, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection rules of the consumer's country of habitual residence remain unaffected.

Severability

If any provision of these terms is held to be invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be replaced by a valid provision that comes closest to the original intent.
